IMPLEMENTATION SERVICES AGREEMENT

This Public Offer Agreement (hereinafter — the "Agreement") constitutes a public offer by Sole Proprietor Rabadan Izabakarov (hereinafter — the "Provider"), addressed to sole proprietors, legal entities, and self-employed individuals (hereinafter — the "Client"), collectively referred to as the "Parties", to enter into this Agreement in accordance with applicable law, for the provision of paid implementation services for the MonkeyMachine platform.

Full and unconditional acceptance (acception) of the terms of this Agreement is evidenced by the Client's payment of an invoice issued by the Provider or an Authorized Partner, which states that the invoice is issued pursuant to the terms of this Agreement. An electronic version of the invoice sent via communication channels is equivalent to a paper invoice.

The MonkeyMachine platform provides self-service setup tools: AI onboarding, step-by-step integration wizards, and data import with AI-powered mapping. Services under this Agreement are provided to Clients who require expert assistance with implementation.

1.1. Platform — the MonkeyMachine cloud SaaS platform, available at monkeymachine.ru and related domains, including all modules, integrations, and AI functionality.

1.2. Implementation — a set of services for setup, integration configuration, data migration, staff training, and Client support during the initial onboarding to the Platform.

1.3. Implementation Package — a service tier defining the scope and composition of services, selected by the Client from the list specified in Section 3 of this Agreement.

1.4. Implementation Curator — a specialist of the Provider or Authorized Partner assigned to support the Client during the implementation period.

1.5. Authorized Partner — a legal entity, sole proprietor, or self-employed individual authorized by the Provider to render implementation services on their own behalf at prices no lower than those established by this Agreement (RRP).

1.6. Implementation Period — the service delivery period, calculated from the first contact of the Implementation Curator with the Client until the signing of the Acceptance Act or the expiration of the maximum period specified for the respective Package.

1.7. RRP — Recommended Retail Price, the minimum price below which an Authorized Partner may not offer implementation services.

2.1. The Provider undertakes to render Platform implementation services to the Client in accordance with the selected Implementation Package and/or individual services agreed upon by the Parties, and the Client undertakes to accept and pay for the services rendered in the manner and within the timeframes established by this Agreement.

2.2. Services are rendered remotely (online) unless otherwise specified in the selected Package.

2.3. Implementation services do not include access to the Platform. Access to the Platform is governed by the Terms of Use and is paid separately per current subscription rates.

3.1. "Start" Package — 35,000 ₽

For self-employed and micro-businesses. Scope: ~10 specialist hours.

Maximum implementation period: 3 weeks from payment date.

3.2. "Business" Package — 90,000 ₽

For small service businesses with 5–15 employees (salons, studios, clinics, auto services). Scope: ~25 specialist hours.

Maximum implementation period: 5 weeks from payment date.

3.3. "Pro" Package — 175,000 ₽

For mid-size businesses with multiple sales channels (restaurants with delivery, salon chains, e-commerce with marketplaces). Scope: ~50 specialist hours.

Maximum implementation period: 8 weeks from payment date.

3.4. "Enterprise" Package — 350,000 ₽

For chains, franchises, and large businesses with complex processes. Scope: ~100 specialist hours.

Maximum implementation period: 12 weeks from payment date.

4.1. The Client may purchase additional services from the list below with any Implementation Package. Additional services are paid separately.

4.2. For services not listed above, pricing is calculated at the rate of 3,500 ₽ per specialist hour and agreed upon by the Parties before work begins.

5.1. The Client undertakes to:

5.1.1. Provide source data (contacts, products, services, customer database) in electronic format (CSV, XLS/XLSX, or JSON) within 5 (five) business days of payment. Data in the form of photos, screenshots, or handwritten documents is not accepted.

5.1.2. Grant the Implementation Curator access to the Client's project on the Platform with sufficient permissions for the duration of implementation. Revoke access upon completion.

5.1.3. Provide contact details of the Client's authorized representative (name, position, phone, email) within 1 (one) business day of payment.

5.1.4. Provide access to external service accounts (Meta Business, iiko, YCLIENTS, Ozon, Wildberries, etc.) required for integration setup.

5.1.5. Inform the Provider of any changes affecting the implementation process.

5.2. The Provider undertakes to:

5.2.1. Render services in accordance with the selected and paid Implementation Package. Work begins within 5 (five) business days of payment receipt.

5.2.2. Assign an Implementation Curator and provide the Client with their contact details.

5.2.3. Render services with proper quality using current Platform capabilities.

5.3. The Provider is entitled to:

5.3.1. Engage Authorized Partners and third parties for service delivery.

5.3.2. Unilaterally change Package pricing and additional service offerings. Changes do not apply to paid and accepted orders.

5.3.3. Suspend services if the Client fails to provide required data or access within the established timeframes. Suspension period is included in the maximum implementation period.

6.1. The Client pays for services on a 100% prepayment basis as indicated in the invoice, before services begin.

6.2. Payment is made by bank transfer to the Provider's or Authorized Partner's account, or by other means agreed upon by the Parties.

6.3. Service prices include applicable taxes per the Provider's tax regime.

6.4. Payments are made in Russian Rubles (RUB).

6.5. The Client's payment obligation is deemed fulfilled upon receipt of funds in the Provider's or Authorized Partner's bank account.

7.1. A 100% refund is available if the Provider fails to commence services within 10 (ten) business days of payment due to the Provider's fault.

7.2. After the implementation period begins (first contact between the Curator and the Client), paid funds are non-refundable due to the nature of implementation processes and are credited against the Provider's incurred expenses.

7.3. Service commencement is evidenced by system records (Curator assignment date, first message in the support chat, or first video call).

8.1. Upon completion of work (or expiration of the maximum implementation period), the Provider sends the Client an Acceptance Act via email.

8.2. The Client must sign the Act or submit a reasoned objection within 5 (five) business days of receipt.

8.3. If the Provider does not receive a signed Act or reasoned objection within 5 (five) business days, the services are deemed rendered in full and properly, and the Act is considered accepted by the Client. The Provider signs the Act unilaterally.

9.1. This Agreement takes effect upon acceptance (invoice payment) and remains in force until full performance of obligations, but no longer than:

• "Start" Package — 3 weeks
• "Business" Package — 5 weeks
• "Pro" Package — 8 weeks
• "Enterprise" Package — 12 weeks

from the payment receipt date.

9.2. The Client may terminate the Agreement unilaterally before services begin by providing 5 (five) business days written notice. Termination after the implementation period begins is subject to Section 7.2.

9.3. Confidentiality, settlement, and liability obligations survive termination.

10.1. Implementation services may be rendered by Authorized Partners on their own behalf and at their own expense. The Authorized Partner bears responsibility to the Client for service quality.

10.2. Package and additional service prices in Sections 3 and 4 constitute the Recommended Retail Price (RRP). Authorized Partners may not offer implementation services below the RRP.

10.3. Implementation service revenue is fully retained by the entity rendering the services (Provider or Authorized Partner). The Provider (Platform owner) earns from SaaS subscriptions and does not charge commission on implementation services.

10.4. Authorized Partners may offer additional services beyond those listed in this Agreement at their own pricing.

11.1. The Parties bear liability for non-performance or improper performance in accordance with applicable law.

11.2. The Provider is not liable for inability to render services due to reasons beyond the Provider's control, including: Client's failure to provide data or access, restrictions by external services, third-party API changes.

11.3. The Provider is not liable for the content, accuracy, or completeness of data provided by the Client for import.

11.4. The Provider's liability is limited to the amount actually paid by the Client under this Agreement.

11.5. The Provider is not liable for indirect damages, lost profits, data loss, or business disruption.

12.1. The Parties undertake to maintain confidentiality of information obtained during Agreement performance.

12.2. Personal data processing is governed by the Privacy Policy and the RF Personal Data Policy.

12.3. The Client warrants legal grounds for transferring personal data (customer database, employee data) to the Provider for import and setup purposes.

12.4. Implementation Curator access to the Client's project is granted strictly for the service period and revoked upon completion.

13.1. Governing law — legislation of the Russian Federation.

13.2. The Parties shall make every effort to resolve disputes through negotiation. Pre-trial claim procedure is mandatory; response deadline is 10 (ten) business days.

13.3. Disputes not resolved amicably shall be referred to the court at the Provider's location.

14.1. Document exchange is conducted via email. Electronic copies have the legal force of originals.

14.2. The Provider may unilaterally amend the Agreement terms. Amendments take effect upon publication on the website. Amendments do not apply to paid and accepted orders.

14.3. The current version of the Agreement is available at: monkeymachine.ru/legal/implementation-offer.

14.4. For all matters not regulated by this Agreement, the Parties shall be guided by applicable law.
